1. Agreement to Terms

These Terms of Service (“Terms”) govern your use of Wellspoken, a service provided by Carbon Studio LLC (“we,” “our,” or “us”). By using our service, you agree to these Terms. If you don't agree, please don't use Wellspoken.

For iOS App Users: You acknowledge that these Terms are concluded between you and Carbon Studio LLC only, and not with Apple Inc. (“Apple”). Carbon Studio LLC, not Apple, is solely responsible for the Wellspoken app and its content. These Terms do not conflict with the Apple Media Services Terms and Conditions.

Legal Compliance: By using Wellspoken, you represent and warrant that: (i) you are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

2. License and Scope of Use

Wellspoken provides AI-powered speech analysis and communication improvement tools. Our service includes voice recording, meeting recording, audio and video file upload and analysis, speech analysis, vocabulary discovery, practice exercises, and progress tracking to help you improve your speaking skills.

License Grant: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use Wellspoken for personal, non-commercial purposes.

For iOS App Users: Your license to use the Wellspoken iOS app is limited to a non-transferable license to use the app on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. The app may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.

Third-Party Terms: When using Wellspoken, you must comply with applicable third-party terms of agreement. For example, if you use our app with voice features, you must not violate your wireless data service agreement.

3. Account Registration

To use Wellspoken, you must:

  • Be at least 13 years old or have parental consent
  • Provide accurate and complete registration information
  • Keep your account information updated
  • Maintain the security of your password
  • Accept responsibility for all activity under your account

4. Acceptable Use

You agree to use Wellspoken responsibly. You may not:

  • Share content that is illegal, harmful, or violates others' rights
  • Attempt to breach security or disrupt our service
  • Use the service for commercial purposes without permission
  • Share access credentials with others
  • Reverse engineer or attempt to extract our AI technology
  • Upload content that contains hate speech, harassment, or inappropriate material
  • Record conversations or meetings without obtaining all required consents under applicable law
  • Upload recordings containing the voice or personal information of third parties without proper authorization
  • Use the recording or upload features for surveillance, monitoring, or any purpose other than personal speech improvement

5. Voice Recording, Meeting Recording, and Content

By using our service, you confirm that you have the right to record and analyze your voice for speech improvement purposes. Practice sessions shorter than 10 seconds may be automatically discarded to maintain service quality. You're responsible for ensuring your practice content is appropriate and doesn't violate these Terms.

Meeting Recording and Audio/Video Upload Features

Wellspoken offers features that allow you to record conversations and meetings (“Record Meeting”) and upload audio or video files for analysis (“Upload & Analyze”). These features may capture the voices and speech of individuals other than yourself (“Third-Party Participants”). By using these features, you acknowledge, represent, warrant, and agree to the following:

Your Sole Responsibility for Consent and Compliance:

  • You are solely responsible for providing any and all notices to, and obtaining any and all rights, permissions, and consents from, every individual whose voice, likeness, or personal information is captured in any recording or uploaded file, as required by all applicable federal, state, local, and international laws, regulations, and rules, including, without limitation, laws governing the monitoring, interception, or recording of conversations, communications, or phone calls (“Recording Laws”).
  • You acknowledge that Recording Laws vary significantly by jurisdiction. Some jurisdictions require the consent of all parties to a conversation before it may be recorded (“all-party consent” or “two-party consent” jurisdictions). It is your responsibility to understand and comply with the Recording Laws applicable to you and your recording activities.
  • You will not use Wellspoken's recording or upload features to record or process any conversation, communication, or content without proper legal authorization and all required consents.
  • You will not upload or record any content that contains confidential, proprietary, or trade secret information of any third party unless you have proper authorization to do so.

No Responsibility for Your Recordings:

Carbon Studio LLC provides Wellspoken as a speech analysis tool only. We have no control over, and assume no responsibility for, the content of any recording you make or file you upload using our service. We do not monitor, review, or pre-screen user recordings for compliance with Recording Laws or any other legal requirements. We are not a party to any conversation you record and bear no liability for unauthorized or unlawful recordings.

Indemnification for Recording Activities:

You agree to indemnify, defend, and hold harmless Carbon Studio LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your failure to obtain required consents or provide required notices under applicable Recording Laws; (ii) your recording, uploading, or processing of any third party's voice, likeness, or personal information through the service; (iii) any violation of applicable law in connection with your use of the recording or upload features; or (iv) any claim by a Third-Party Participant related to your use of the service.

Third-Party Participant Rights:

Wellspoken processes Third-Party Participant audio solely to provide speech analysis to the account holder. We do not create accounts, profiles, or persistent identifiers for Third-Party Participants. Third-Party Participants (or their authorized representatives) who believe their voice or personal information has been recorded or processed without proper consent may contact us at support@wellspoken.me to request removal of their data from our systems.

6. Subscription and Billing

Our service operates on a subscription basis:

  • Free tier includes limited practice sessions
  • Paid subscriptions auto-renew unless cancelled
  • You can cancel anytime from your account settings
  • Refunds are provided according to our refund policy
  • Free Trials and Introductory Offers: Free trials and introductory pricing offers are available to new subscribers only. Each Apple ID or Google Account is eligible for one introductory offer per subscription. If you have previously subscribed to Wellspoken or redeemed a free trial, you will not be eligible for another introductory offer and will be charged the standard subscription price immediately upon purchase.
  • We may change pricing with 30 days' notice
  • Billing is handled through RevenueCat and app stores
  • Important: Deleting your account does not automatically cancel your subscription. To stop future charges, you must cancel your subscription separately through the service you originally subscribed with (Apple App Store → Account → Subscriptions, or Google Play Store → Account → Subscriptions). Account deletion only removes your data from our systems and does not affect your billing.

Subscription Renewal

Your Wellspoken subscription automatically renews at the conclusion of each period (week, month, 3 months, year, or selected duration) until explicitly canceled by you.

Payment Authorization: By completing purchase, you authorize Wellspoken to charge the applicable subscription fees to your designated payment method.

Cancellation

Canceling your subscription deactivates automatic renewal but allows continued access until the current period ends.

  • App Store: Cancel via Apple ID account settings → Subscriptions
  • Google Play: Cancel via Google Play account settings → Subscriptions
  • Website: Contact support@wellspoken.me or cancel in account settings

Pricing Changes

To the maximum extent permitted by applicable laws, we may change subscription fees at any time. We will give you reasonable notice of any such pricing changes by posting the new prices on the app and/or by sending you an email notification, or in other prominent ways. If you do not wish to pay the new fees, you can cancel the applicable subscription prior to the change going into effect.

6.5 Anti-Abuse and Fair Use Policy

To maintain service quality and prevent abuse, we enforce the following policies:

Account Sharing Prohibited: Your subscription is for individual use only. You may not share your account credentials, subscription access, or login information with others. Each user must maintain their own account and subscription.

Refund Abuse Prevention: We reserve the right to deny refunds or suspend accounts that demonstrate patterns of abuse, including but not limited to:

  • Repeatedly purchasing and refunding subscriptions to access premium features without payment
  • Making fraudulent or deceptive refund claims after using premium features
  • Creating multiple accounts to exploit free trials or promotional offers
  • Purchasing lifetime access, downloading all content, then requesting a refund
  • Using chargebacks or payment disputes as a substitute for legitimate cancellation

Service Abuse: We may suspend or terminate accounts that engage in:

  • Excessive API usage or automated scraping of our content or AI-generated analysis
  • Attempting to reverse engineer, extract, or replicate our AI models or analysis algorithms
  • Using our service to generate content for commercial resale or redistribution
  • Uploading inappropriate, offensive, or illegal content to our practice systems
  • Deliberately attempting to manipulate, exploit, or abuse our AI systems

Enforcement: If we detect abuse, we may:

  • Issue a warning and request compliance
  • Temporarily suspend your account pending investigation
  • Permanently terminate your account without refund
  • Deny future refund requests or subscription purchases
  • Report fraudulent activity to payment processors and authorities
  • Pursue legal action for damages caused by abuse or fraud

Legitimate Refunds: We honor all legitimate refund requests made in good faith. This policy is designed to prevent abuse, not to restrict your consumer rights. If you have a genuine issue with our service, please contact support and we'll work with you to resolve it.

Fair Use of AI Services: Our AI analysis features are provided for personal speech improvement. Excessive or automated usage that strains our infrastructure may be subject to rate limiting or account review. Examples of excessive usage include (but are not limited to): automated scraping, bot-driven API calls, usage patterns significantly exceeding typical user behavior, or usage that degrades service quality for other users. We reserve the right to implement usage limits to ensure fair access for all users.

6.6 Refund Policy

App Store and Google Play Purchases

Please note that if you purchase a subscription through the Apple App Store or Google Play, the sale is final, and we cannot provide a refund. Your purchase will be subject to Apple's and/or Google's applicable payment policy. This means when a purchase is made through an App Store or Google Play, we cannot grant refunds. You will have to contact App Store or Google Play support.

  • App Store (Apple): Refund requests are to be directed to Apple following the guidelines on their support page.
  • Google Play: Refund requests should be made directly through Google, adhering to the outlined procedure on their support page.

Website Purchases - 30-Day Money-Back Guarantee

If you purchase a subscription through our website and are not satisfied for any reason, you can request a full refund within 30 days of your initial purchase. No questions asked.

How to request a refund: Simply email our support team at support@wellspoken.me within 30 days of your purchase. Include your account email and we'll process your refund promptly, typically within 5-10 business days.

Note: This guarantee covers all charges within your first 30 days. After that period, you can cancel anytime to prevent future charges, but payments made after the initial 30 days are non-refundable.

General Refund Rules

If you fail to meet the conditions outlined in the Money-Back Guarantee, the fees paid for our services are generally non-refundable and non-exchangeable. Exceptions may apply as required by applicable law.

Note for Residents of Certain US States: If you are a resident of California or Connecticut and cancel your purchase before midnight of the third business day after the date of such purchase, we will refund the payment made.

6.7 User Email Entry Responsibility

Wellspoken shall not be held responsible for any issues arising from the user's incorrect entry of their email address during the purchase stage. It is the user's sole responsibility to ensure the accuracy of their email information to receive essential notifications, including but not limited to subscription renewal reminders, account-related updates, and communication regarding the Wellspoken app.

Wellspoken encourages users to double-check and verify their email information during the purchase process to prevent any inconvenience caused by inaccurate or misspelled email addresses. Users are advised to promptly contact support@wellspoken.me in case of any email-related concerns, ensuring effective communication and uninterrupted access to subscription features.

6.8 Push Notification Responsibility

Wellspoken may send push notifications to remind you of upcoming trial expirations, subscription renewals, and other important account updates. These notifications are sent as a courtesy and are not guaranteed.

If you disable push notifications on your device or within the Wellspoken app, you will not receive these reminders. It is your sole responsibility to manage your subscription and be aware of renewal dates if you choose to disable notifications.

Wellspoken shall not be held liable for any charges incurred due to missed notifications resulting from user-disabled notification settings, device settings, or technical issues outside of our control.

7. Intellectual Property

You retain ownership of your voice recordings and practice content. By using our service, you grant us permission to process your content to provide speech analysis and improvement features. We own our technology, software, and service improvements. Your practice data remains yours.

8. Privacy and Data

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using Wellspoken, you also agree to our Privacy Policy.

We apply privacy-conscious processing to all voice analysis and practice data. However, no automated system is perfect. You agree to exercise discretion when practicing with sensitive content and acknowledge that AI-generated analysis may contain inaccuracies.

9. AI Service Disclaimers

Our service relies on artificial intelligence technology. You acknowledge and agree that:

  • AI speech analysis may contain errors or inaccuracies
  • AI-generated feedback and recommendations are not guaranteed to be complete or accurate
  • Speech recognition and analysis quality may vary
  • AI systems may occasionally produce unexpected responses
  • Third-party AI services may experience outages that affect our service

Mental Health & Professional Services Disclaimer

Wellspoken, including our Echo AI conversation feature, is a communication skills training tool only.

Wellspoken is NOT:

  • A substitute for professional therapy, counseling, or mental health treatment
  • Designed to diagnose, treat, or cure any medical or psychological condition
  • A licensed medical, psychological, or therapeutic service
  • Staffed by licensed therapists, counselors, or mental health professionals

Echo is an AI designed to help you practice articulating thoughts and improve communication skills. Echo is not a therapist, counselor, or mental health professional.

If you are experiencing a mental health crisis, suicidal thoughts, or thoughts of self-harm, please contact a mental health professional or emergency services in your area immediately.

By using Wellspoken, you acknowledge that you understand these limitations and agree to seek appropriate professional help for any mental health concerns.

10. Maintenance, Support, and Service Availability

Our Responsibility: Carbon Studio LLC is solely responsible for providing any maintenance and support services for Wellspoken, as specified in these Terms or as required under applicable law.

Apple's Role: For iOS app users, you acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services for Wellspoken.

Service Availability: We strive for reliable service but can't guarantee 100% uptime. We may temporarily suspend service for maintenance, updates, or technical issues. We're not liable for service interruptions beyond our reasonable control.

11. Warranties and Limitation of Liability

Our Warranty Responsibility: Carbon Studio LLC is solely responsible for any product warranties for Wellspoken, whether express or implied by law, to the extent not effectively disclaimed.

Apple Warranty Terms: For iOS app users, in the event Wellspoken fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to Wellspoken, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be Carbon Studio LLC's sole responsibility.

Limitation of Liability: To the maximum extent permitted by law, Carbon Studio LLC's total liability for any claims related to Wellspoken is limited to the amount you paid us in the 12 months before the claim. We're not liable for indirect, incidental, or consequential damages, including but not limited to: AI analysis errors, data loss, service interruptions, or inaccuracies in AI-generated feedback.

12. Claims and Indemnification

Product Claims: You acknowledge that Carbon Studio LLC, not Apple, is responsible for addressing any claims relating to Wellspoken or your possession and use of the app, including but not limited to: (i) product liability claims; (ii) any claim that Wellspoken fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

Intellectual Property Claims: You acknowledge that in the event of any third-party claim that Wellspoken or your possession and use of Wellspoken infringes that third party's intellectual property rights, Carbon Studio LLC, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim.

General Indemnification: You agree to defend and hold us harmless from claims arising from your use of the service, violation of these Terms, infringement of others' rights, inappropriate practice content, any issues related to AI-generated analysis or feedback, or any claims by third parties whose voice, likeness, or personal information was captured in recordings you made or files you uploaded using the service (including claims related to failure to obtain consent under applicable Recording Laws).

13. Termination

Either party may terminate these Terms at any time. Upon termination, your right to use the service stops immediately. We'll provide reasonable time to download your practice data before account deletion. When you request account deletion, your data is permanently removed from our active systems.

Subscription Cancellation: Terminating your account does not automatically cancel active subscriptions. You are responsible for canceling subscriptions through your app store provider (Apple or Google) to avoid future charges. Failure to cancel your subscription separately will result in continued billing according to your subscription terms, even after account deletion.

14. Governing Law and Third-Party Beneficiaries

Governing Law: These Terms are governed by the laws of Virginia, United States, without regard to conflict of law principles. Any disputes will be resolved in the courts of Virginia.

Third-Party Beneficiaries: You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

15. Communications

By using Wellspoken, you agree to receive communications from us, including:

  • Transactional Emails: Account confirmations, password resets, billing notifications, security alerts, and critical service updates (you cannot opt out of these)
  • Service Communications: Feature announcements, product updates, educational content, tips for improving your speaking skills, and promotional offers (you can opt out anytime)

16. Changes to Terms

We may update these Terms from time to time. We'll notify you of material changes via email or through our service. Continued use after changes constitutes acceptance of the updated Terms.
